This “ContentMarkupRobot Plugin License” (the “License”) is entered into as of the Effective Date set forth below, by and between JLK Ventures LLC, PO Box 588 Eastlake, CO 80614 (the “Company”), the owner and provider of the proprietary WordPress plugin distributed solely through a paid subscription to ContentMarkupRobot.com (the “Service”), and the individual or entity (the “User”) acquiring, installing, or using the plugin pursuant to the terms of this License.

WHEREAS, the Company has developed and owns all intellectual property rights in the ContentMarkupRobot WordPress plugin and retains exclusive rights to its code and any content generated by the plugin;
WHEREAS, the Company desires to grant the User a limited, non-transferable, non-exclusive license to access and use the plugin solely in connection with an active paid subscription to the Service, subject to strict prohibitions on redistribution, modification, copying, and other unauthorized use;
WHEREAS, the use and licensing of the plugin are intended to integrate fully with and be governed by the Company’s platform Terms and Conditions, which include liability and warranty disclaimers, limitations of remedies and termination provisions;
WHEREAS, the Company reserves the right to monitor for and enforce unauthorized uses and to protect its trademarks and intellectual property globally;
WHEREAS, the parties desire that all disputes, including those related to this License, shall be resolved in accordance with the dispute resolution process set forth in the Terms and Conditions;

NOW, THEREFORE, in consideration of the mutual promises, obligations, and covenants herein, the parties hereby agree as follows, effective as of [Effective Date]. By installing, accessing, or using the Plugin, the User acknowledges and agrees to be bound by the terms of this License.

0. Acceptance of License

The User acknowledges and agrees that installation, access, or use of the Plugin constitutes acceptance of this License Agreement. If the User does not agree to these terms, the Plugin must not be installed, accessed, or used.

1. Grant Of License

The Company grants the User a limited, non-transferable, non-exclusive license to access and use the Plugin solely for the duration of an active paid Subscription (the ‘License Term’). This License permits the User to install and utilize the Plugin on their WordPress site for personal or business use in accordance with the terms established within this License. The User acknowledges and agrees that this License does not allow any copying, modification, distribution, or any other use of the Plugin outside of what is explicitly permitted herein. As a part of Subscription, the User agrees to maintain the confidentiality of their access credentials and restrict Plugin use to authorized personnel within their organization. The Plugin is not available for distribution via any other channels except through the Company’s designated subscription platform.

IN WITNESS WHEREOF, the parties hereto have executed this ContentMarkupRobot Plugin License Agreement as of the Effective Date set forth below. For Users who do not execute this Agreement manually, installation, access, or use of the Plugin shall constitute agreement to its terms.
